Like this?

I just made a rounded rectangle shape, selected it, invert selection and fill the selection with the background colour.

You have to make sure you still have the feathered selection you made with the marquee tool. And make sure that after you invert, the selection is there there. Use Alt+Backspace or Ctrl+Backspace to fill the selection with your foreground/background colours.

Ok, I've tried it with the marquee tool and it doesn't work. Try it with the shape tool.

Draw the shape as big as the sig. CTRL+Click the shape layer to get the selection. Invert selection. New layer. Fill with background colour. Delete shape layer. Instant rounded rectangle sig.

You could try creating a new layer, draw the rounded rectangle on that layer, now stick that layer below your logo (If you need to duplicate the background and make the original background invisible) then if you are using PS7 or earlier press Ctrl-G and if you are using CS press Ctrl-Alt-G. That'll clip your logo to your new shape.
