Wah, i can do that witht he Marquee Tool when i put Feather on it. But then i when i invert and try to make white the selection it makes the whole layer white :-S |

You could try creating a new layer, draw the rounded rectangle on that layer, now stick that layer below your logo (If you need to duplicate the background and make the original background invisible) then if you are using PS7 or earlier press Ctrl-G and if you are using CS press Ctrl-Alt-G. That'll clip your logo to your new shape.
