Indeed, the start up time is a big plus as well. I also hated the amature look of the silver 300D body.

To make the decision, simply look at the differences and what they are worth to you:

6MP vs 8MP: Not a real reason to upgrade, as it doesn't make a huge difference, but for me I need every pixel I can get, and I would have bought the 5D if I could have afforded it. I am actually taking pictures for billboards, and the 6MP doesn't cut it, and the 8MP still won't, but it will help.

Instant on: More of a nice feature, I hate waiting for the camera to turn on. Especially if I am using it and it turns off because I haven't taken a picture in a while.

Successive Shots: Now for me, this is huge. I was recently taking pics at a graduation and wanted to get a "walking across the platform" montage. I could only get 4 shots in that amount of time with the 300D, 2 of which were no good. I could easily get 12 shots out of the 350D in that amount of time.

Smaller, lighter body: Good and Bad IMO. I like the compact size and weight for when it is around my neck, but the grip is just a little too small, I really preferred the grip on the 300D, but oh well. (FYI I also preferred the "huge" original xbox controller)

DIGIC II image processor: Better image quality, faster processing. I think this helps in taking more shots in less time, in conjunction with the 350Ds faster CF writing capability.

In all, these reasons were more than enough to put me "over the edge". It really depends on what you are doign with the camera. If you are only taking pics for an web site, than no, it's not worth the upgrade. But if you frequently find yourself wanting to take a shot and you can't (either because it's booting up or the buffer is full) than that is a great reason IMO, especially because I sold my 300D on EBAY for $500 (w/ kit lens, extra battery, car charger, and 512MB CF card).
